| 抄録: | Reputation is one of the important mechanisms stimulating and constraining independent board members. The phenomenon is observed where independent board members are influenced by plural principles due to occupation of concurrent positions, that is the phenomenon of common agency. This reputation mechanism can function not only in single enterprise but also in plural enterprises. This paper analyzes the mechanism stimulating reputation of independent board members and then intends to expose key points and problems in designing the mechanism. |
